Article 2: Purpose and scope
2.1. These Terms of Sale set out the conditions under which the Publisher provides its Services to Clients. They apply to any Order placed through the Site, by email, by instant messaging (in particular WhatsApp), by telephone or during an in-person or remote appointment.
2.2. These Terms of Sale supplement the Site’s Terms of Use, which govern exclusively access to and use of the Site, and the Privacy Policy relating to the collection and processing of personal data.
2.3. The contractual relationship between the Publisher and the Client is governed by the following documents, in decreasing order of priority:
- the Quote or Engagement Letter accepted by the Client;
- these Terms of Sale;
- the Site’s Terms of Use;
- the Privacy Policy, solely for matters relating to personal data.
In the event of a contradiction between contractual documents, the higher-ranking document prevails.
2.4. These Terms of Sale do not apply to specific contracts for recurring legal advice, subscriptions, ongoing assistance or any other assignment covered by a specific agreement signed between the parties. Those services are governed by their own contractual terms.
2.5. The Client acknowledges having read these Terms of Sale before placing any Order and accepts them without reservation by any means evidencing their consent, in particular by signing a Quote or an Engagement Letter, or by ticking a dedicated box when placing an online Order. The applicable version is the one in force on the date of the Order.
Article 3: Description of the Services
3.1. The Publisher offers in particular the following Services:
- legal consultations, in person or remotely (video conference or any other electronic means of communication);
- drafting of legal deeds, documents and contracts;
- assistance with company formation, including in particular the preparation of files, the completion of the required administrative and commercial formalities and the follow-up of procedures with the administrations, competent bodies and the registry;
- corporate housekeeping formalities, in particular amendments to the articles of association, changes of directors, transfers of registered office, capital increases or reductions, conversions, dissolutions and liquidations;
- legal and administrative follow-up services for companies, including in particular statutory registers, monitoring of corporate deadlines, organisation of general meetings and compliance alerts;
- the supply of templates of deeds, legal documents and document packs;
- more generally, any legal, administrative or compliance service expressly offered by the Publisher.
3.2. The essential characteristics, scope, indicative timeframes, fees and any exclusions of each Service are specified on the Site, in the Quote or in the Engagement Letter. Any request outside the initial scope is subject to an additional quote or an amendment accepted in advance by the Client.
3.3. Unless otherwise expressly provided in the Quote or the Engagement Letter, the Publisher is bound by an obligation of means. It undertakes to perform the Services diligently, competently and in accordance with the applicable rules of law. The Publisher does not guarantee any particular result, nor the acceptance of a file by an administration, a registry, a court or any other third-party body where that decision does not depend on it.
3.4. The information, articles, guides, practical guides, templates and content published on the Site are provided for information purposes only. They do not constitute individual legal advice and cannot replace a consultation based on an analysis of a Client’s particular situation.
Article 4: Orders and formation of the contract
4.1. Online orders
When the Order is placed on the Site, the Client follows the steps allowing them to:
- select the desired Service;
- enter the required information;
- review a summary of their request, including in particular the Service chosen, its price and any additional fees;
- correct any input errors;
- read and accept these Terms of Sale;
- confirm their Order.
Receipt of the Order gives rise to an acknowledgement of receipt sent by email. This acknowledgement only constitutes final acceptance of the Order once the Order has been confirmed by the Publisher and, where applicable, after receipt of the required payment.
4.2. Orders based on a Quote or Engagement Letter
Unless otherwise stated, a Quote issued by the Publisher is valid for thirty (30) calendar days from its date of issue.
The contract is deemed to be concluded on the date on which the Publisher receives:
- the Quote or Engagement Letter duly signed or accepted by any written means allowing proof to be kept, in particular by email or WhatsApp message;
- and, where provided for, the payment of the deposit or the requested payment.
4.3. Capacity and authority
The Client declares that they have the legal capacity required to enter into a contract.
Where they act in the name or on behalf of a legal person or a third party, they warrant that they hold the powers and authorisations required to validly bind that person.
4.4. Refusal or suspension of an Order
The Publisher reserves the right to refuse, suspend or postpone the performance of an Order for a legitimate reason, in particular in the event of:
- an incomplete file;
- inaccurate or manifestly erroneous information;
- the absence of proof of identity or authority where required;
- reasonable suspicion of fraud, money laundering, identity theft or unlawful activity;
- non-payment of sums due;
- or any circumstance making the performance of the Service impossible or manifestly contrary to the applicable law or regulations.
4.5. Evidence
Computer records, emails, electronic messages, connection logs, payment confirmations and other data kept by the Publisher under reasonable security conditions constitute admissible evidence of the exchanges, orders, payments and contractual relations between the parties, unless proven otherwise.
Article 5: Prices, fees and charges
5.1. Prices
The prices of the Services are expressed in CFA francs (FCFA). Unless otherwise stated, they are shown exclusive of tax. Any applicable tax, in particular value added tax (VAT), is invoiced at the legal rate in force on the date of invoicing.
5.2. Administrative Fees
Unless otherwise stated in the Quote or the Engagement Letter, the Publisher’s fees do not include administrative fees, duties, taxes, levies or disbursements payable to third parties in connection with the performance of the Service.
The Publisher informs the Client, as far as possible, of the nature and estimated amount of these fees in the Quote or the Engagement Letter. These amounts may change according to the rates applied by the administrations, public bodies or other third parties concerned.
5.3. Applicable price
The applicable price is the one stated in the Quote or the Engagement Letter or, failing that, the one displayed on the Site on the day of the Order.
5.4. Legal consultation
The price of a consultation is shown on the Site or in the Publisher’s price documentation.
Where the Client entrusts the Publisher with a Service following that consultation within three (3) months of it taking place, the amount of the consultation is deducted from the fees for that Service, under the conditions set out in the Quote or the Engagement Letter.
5.5. Changes to prices
The Publisher reserves the right to change its prices at any time.
However, Services already covered by a Quote or an Engagement Letter accepted by the Client remain invoiced at the prices agreed upon acceptance, unless the parties expressly agree otherwise or the scope of the Service changes.
Article 6: Payment terms
6.1. Means of payment
Services may be paid for through the secure Notch Pay payment platform (in particular by Orange Money, MTN Mobile Money, bank card or any other means offered by that platform) or by any other means of payment accepted by the Publisher and communicated to the Client.
Payment transactions are processed directly by the payment provider concerned. Payment data is collected and processed in accordance with the payment provider’s terms and with the Publisher’s Privacy Policy.
6.2. Payment schedule
Unless otherwise stipulated in the Quote or the Engagement Letter, the Client pays, on signature, a deposit equal to seventy per cent (70%) of the fees.
The balance, i.e. thirty per cent (30%), is due on completion of the Service, on delivery of the Deliverables or on completion of the assignment, depending on its nature.
However, the Publisher reserves the right to require full payment of the price before starting the Service where the nature of the assignment, the amount of the costs to be incurred, operational constraints or the characteristics of the file justify it.
Administrative fees, duties, taxes and disbursements payable to third parties may be requested before the formalities concerned are carried out.
6.3. Payment failure or incident
The Order is only considered final once the requested payment has actually been confirmed.
In the event of a failure, rejection, cancellation or anomaly affecting a payment transaction, the Publisher may suspend the processing of the Order until the situation is regularised.
In the event of a double or undue payment, the Client is invited to contact the Publisher and provide the relevant supporting documents. After verification, the Publisher refunds the overpayment or offers any other appropriate solution.
6.4. Invoicing
The Publisher issues an invoice compliant with the applicable regulations for any sum received.
Where a deposit is paid, a deposit invoice is issued. A final or balance invoice is then issued upon full payment of the fees or in accordance with the applicable accounting and tax rules.
6.5. Late payment
In the event of non-payment of a sum when due, the Publisher may, after informing the Client, suspend the performance of the Service or the delivery of the Deliverables until all sums due have been paid in full.
This suspension shall not give rise to any liability on the part of the Publisher for the consequences of the resulting delay.
6.6. Set-off and withholding
Unless the Publisher agrees in writing, the Client may not make any unilateral set-off, withholding or deduction from the sums due for the Services.
Article 7: Client obligations
The Client undertakes to:
- provide the Publisher with accurate, complete, truthful and regularly updated information, statements, documents and supporting documents;
- prove their identity and, where acting on behalf of a legal person or a third party, their capacity and powers of representation;
- respond within a reasonable time to requests for information, documents or additional items made by the Publisher;
- provide, where the nature of the formality or the applicable regulations so require, any mandate, power of attorney or authorisation document necessary to perform the assignment;
- provide, where applicable, documents bearing the legalisations, certifications or authentications required by the competent authorities or bodies;
- diligently check the draft deeds, forms and documents submitted to them before signing or filing them;
- approve the Deliverables sent to them within the timeframes indicated by the Publisher;
- not use the Services for unlawful or fraudulent purposes or purposes contrary to public order, in particular for fraud, money laundering, financing of unlawful activities or concealment of activities.
The Client remains solely responsible for the accuracy, truthfulness, completeness and updating of the information and documents sent to the Publisher.
Any delay, omission, inadequacy or inaccuracy attributable to the Client automatically suspends the timeframes for performing the Service until the situation is regularised, without the Publisher incurring any liability as a result.
The Publisher also reserves the right to invoice any additional work made necessary by the late, incomplete or erroneous provision of information or documents by the Client, after informing the Client in advance.
Article 8: Performance of the Services and timeframes
8.1. The Publisher starts performing the Service upon receipt of the Complete File and payment of the sums due in accordance with the Quote or the Engagement Letter.
8.2. The timeframes mentioned on the Site, in a Quote or in an Engagement Letter are given for information purposes only and are estimates. They run from receipt of the Complete File and of the required payment.
These timeframes do not include the processing times of administrations, courts, registries, business formalities centres, tax services, public bodies, banks or any other third party involved in the performance of the Service, which are beyond the Publisher’s control.
8.3. The Publisher is bound by an obligation of means. It does not guarantee that a registration, entry, approval, authorisation or any other administrative act will be obtained, nor the time within which it will be issued. The decisions concerned fall exclusively within the competence of the relevant authorities, administrations or bodies.
8.4. The Publisher keeps the Client reasonably informed of the progress of their file by any appropriate means of communication, in particular by email, telephone, SMS or instant messaging (in particular WhatsApp).
8.5. Any request to change the file, any late provision of information or documents, or any action by the Client likely to affect the processing of the Service may extend the timeframes for performance, without the Publisher incurring any liability.
8.6. The Deliverables are deemed delivered to the Client as soon as they are sent electronically, made available in a dedicated digital space or handed over in person, according to the method agreed between the parties.
Article 9: Administrative formalities and dealings with the competent bodies
9.1. Where the Service involves completing administrative, legal or commercial formalities with an administration, a registry, the Trade and Personal Property Credit Register (RCCM), a tax service or any other competent body, the Publisher acts in the name and on behalf of the Client, within the limits of the mandate, powers or authorisations duly granted by the Client.
The Publisher acts on the basis of the information, documents and instructions provided by the Client, who remains responsible for their accuracy and compliance.
9.2. Administrative fees, taxes, duties, levies and disbursements payable to third parties are borne exclusively by the Client, unless expressly agreed otherwise.
These sums may be paid directly by the Client or advanced by the Publisher in accordance with the terms set out in the Quote or the Engagement Letter.
Fees actually paid to administrations, public bodies or third parties are not refundable, except where a refund is obtained from the bodies concerned.
9.3. Rejection, suspension or request for additional items
In the event of a rejection, suspension of processing or request for additional documents, information or supporting documents by the competent body, the Publisher informs the Client as soon as possible.
Where the rejection, suspension or request for additional items results from an error attributable to the Publisher in performing the assignment entrusted to it, the necessary corrections are made at no extra cost to the Client.
Where the rejection, suspension or request for additional items results from:
- inaccurate, incomplete or outdated information, documents or statements provided by the Client;
- documents sent late;
- a change to the Client’s initial instructions;
- or any circumstance attributable to the Client,
the additional work made necessary may be invoiced separately, after informing the Client in advance and, where applicable, after acceptance of an additional quote.
9.4. The Publisher cannot be held liable for the decisions, refusals, adjournments, requests for additional items, processing times or other measures taken by administrations, registries, courts, public services or competent bodies, where these fall within their own power of assessment or decision.
Article 10: Delivery and approval
10.1. The Deliverables are delivered to the Client electronically, in particular by email, secure download space or instant messaging (in particular WhatsApp), unless the Quote or the Engagement Letter provides for delivery on paper.
The Deliverables are deemed delivered on the date on which they are sent or made available by the Publisher.
10.2. The Client has fifteen (15) calendar days from delivery of the Deliverables to report in writing any clerical error, inconsistency or non-compliance with the instructions they approved.
In the absence of any objection within that period, the Deliverables are deemed accepted by the Client.
The Publisher corrects free of charge any errors directly attributable to it.
Any change, addition or adaptation requested by the Client after approval of the Deliverables or resulting from a change of instructions constitutes an additional service that may be invoiced separately.
10.3. Documents, certificates, extracts, receipts or any other supporting document issued by an administration, a registry, the Trade and Personal Property Credit Register (RCCM) or any other competent body are sent to the Client as issued by the body concerned.
The Publisher cannot be held liable for the content, entries, errors, omissions or changes originating from those third-party bodies.
Article 11: Follow-up (annual support)
11.1. The Follow-up service is subscribed for a fixed term of twelve (12) months from its effective date, which, unless otherwise stipulated, is the date of receipt of the payment provided for in the Quote or the Engagement Letter.
The content of the Follow-up service, including in particular assistance with statutory registers, preparation of general meetings, monitoring of corporate deadlines and legal compliance alerts, is specified on the Site, in the Quote or in the Engagement Letter.
11.2. The Follow-up contract is not automatically renewed.
No later than three (3) months before the end of the current period, the Publisher may send the Client a renewal proposal for a further annual period.
In the event of a change in the applicable prices, the Publisher informs the Client of the new prices and sends an updated quote.
The Follow-up service is only renewed after the Client’s express acceptance of the corresponding quote and, where applicable, payment of the agreed sums.
11.3. The Follow-up service includes only the services expressly mentioned in the Quote, the Engagement Letter or the applicable commercial documentation.
The following are in particular excluded from the scope of the Follow-up service, unless otherwise stipulated:
- amendments to the articles of association;
- transactions on the share capital;
- company conversions;
- dissolutions and liquidations;
- litigation and pre-litigation proceedings;
- exceptional administrative formalities;
- and any service not expressly included in the subscribed offer.
These services are subject to a separate quote.
Where the Client’s needs exceed the scope of the Follow-up service, the Publisher may offer any additional service or suitable offer. The Client remains free to accept or refuse that proposal.
Article 12: Cancellation and interruption of the Service
12.1. Before performance of the Service starts
The Client may request the cancellation of their Order as long as performance of the Service has not started and no work has been carried out by the Publisher.
However, administrative fees, disbursements or sums already incurred with third parties on behalf of the Client remain payable by the Client and are not refundable.
12.2. After performance of the Service has started
Where performance of the Service has started at the Client’s request or with their agreement, the Client remains liable for the fees corresponding to the work actually carried out by the Publisher up to the date of the cancellation request.
Where applicable, administrative fees, taxes, duties and disbursements incurred or paid to third parties remain payable in full.
12.3. Consultation
Any consultation that has taken place is definitively earned by the Publisher and is not refundable.
However, the Client may request that a consultation be postponed to a later date, provided they inform the Publisher at least forty-eight (48) hours before the scheduled date. Unless the Publisher agrees otherwise, only one postponement is allowed.
12.4. Templates and document packs
Templates, forms, standard deeds and document packs are made available or sent to the Client after the payment has been validated.
Given their digital nature and immediate delivery, they can neither be exchanged nor refunded once they have been sent, downloaded or made available, unless a mandatory legal provision states otherwise.
12.5. How to make a request
Any request to cancel, postpone or interrupt a Service must be sent to the Publisher in writing, in particular by email or any other means that leaves a durable record.
Article 13: Liability
13.1. Subject to applicable mandatory legal provisions, the Publisher may only be held liable in the event of a proven fault in the performance of its obligations.
In any event, the Publisher’s liability is limited to direct, personal, certain and foreseeable damage suffered by the Client and may not exceed the amount of fees actually received by the Publisher for the Service concerned.
13.2. In particular, the Publisher cannot be held liable for:
- the consequences of inaccurate, incomplete, outdated or late information, statements, instructions or documents provided by the Client;
- the decisions, refusals, rejections, suspensions, processing times, requests for additional documents or requirements of administrations, courts, registries, tax services, public or private bodies or any other competent authority;
- failure to obtain a registration, approval, authorisation, entry or any other act whose issuance falls within the exclusive competence of a third party;
- indirect damage, in particular loss of a chance, of a business opportunity, of a contract, of turnover, of expected profit, of customers or of any economic advantage;
- interruptions, unavailability or malfunctions of telecommunications networks, payment services, digital platforms, hosting services or any other service provided by a third party.
13.3. As the Publisher is bound by an obligation of means, it does not guarantee any particular result, unless expressly undertaken in the Quote or the Engagement Letter.
13.4. No provision of these Terms of Sale shall have the effect of excluding or limiting the rights enjoyed by the Client under the mandatory provisions of the applicable Cameroonian legislation, in particular where the Client is a consumer.
Article 14: Force majeure
14.1. Neither party shall be liable for any failure or delay in performing any of its obligations where such failure or delay results from a case of force majeure or an event reasonably beyond its control that makes performance of its obligations impossible or excessively difficult.
14.2. The following may in particular constitute cases of force majeure, without this list being exhaustive: natural disasters, fires, floods, epidemics, pandemics, armed conflicts, riots, general strikes, acts of public authorities, widespread failures of telecommunications or electricity networks, cyberattacks of exceptional scale, and any other unforeseeable, irresistible event external to the party invoking it.
14.3. The party affected by a case of force majeure informs the other party as soon as possible of its occurrence and its foreseeable consequences on the performance of the contract.
14.4. Performance of the affected obligations is suspended for the duration of the case of force majeure. As soon as it ends, the party concerned resumes performance of its obligations as quickly as possible.
14.5. If the case of force majeure lasts more than sixty (60) consecutive calendar days and prevents the normal continuation of the Service, either party may terminate the contract by written notice, without compensation on either side, subject to payment for the Services and costs already incurred before the event occurred.
Article 15: Confidentiality and compliance
15.1. Confidentiality
The Publisher undertakes to treat as confidential the information, documents and data provided to it by the Client in connection with the performance of the Services.
This information is only accessible to the employees, subcontractors, partners or bodies whose involvement is necessary to perform the assignment, and to legally authorised authorities where its disclosure is required by a legal or regulatory provision.
The Publisher implements reasonable organisational and technical measures to preserve the confidentiality of the information entrusted to it.
15.2. Regulatory compliance
The Publisher carries out its activities in compliance with the legislation applicable in the Republic of Cameroon and the community regulations in force within the Central African Economic and Monetary Community (CEMAC).
Accordingly, the Publisher may be required to carry out identity checks, request additional information or supporting documents and, where applicable, refuse or suspend the performance of a Service where such a measure is required by the applicable regulations, in particular regarding the fight against money laundering, terrorist financing and fraud.
Article 16: Personal data
Personal data is kept for as long as necessary to achieve the purposes for which it is collected, then deleted or archived in accordance with the Privacy Policy and the legal obligations applicable to the type of data concerned.
Article 17: Intellectual property
17.1. All intellectual property rights relating to the Site, its content, texts, visuals, databases, tools, templates, guides, documents, methods, software and, more generally, any element developed or made available by the Publisher remain the exclusive property of the Publisher or of its partners and licensors.
No provision of these Terms of Sale shall be interpreted as transferring intellectual property rights to the Client.
17.2. Subject to full payment of the sums due, the Client is granted a right to use the Deliverables specifically produced for them as part of the Service ordered, solely for the needs of their personal or professional activities.
This right of use does not entail any transfer of intellectual property in the methods, templates, frameworks, tools or know-how used by the Publisher to produce those Deliverables.
17.3. The templates, forms, document packs, guides and other content provided by the Publisher are licensed to the Client on a personal, non-exclusive, non-transferable and non-assignable basis.
Unless the Publisher gives prior written authorisation, they may not be reproduced, modified, published, distributed, resold, rented, made available to third parties or exploited for commercial purposes.
17.4. The Client warrants that they hold all the necessary rights, authorisations and powers over the information, documents, texts, logos, trademarks, images or other elements they send to the Publisher in connection with the Service.
The Client indemnifies the Publisher against any claim, action or recourse by third parties resulting from the use of those elements.
17.5. Commercial references
Unless the Client gives prior written consent, the Publisher shall not mention the Client’s identity, company name, trademarks or file as a commercial reference, testimonial or case study.
Article 18: Complaints, dispute resolution and governing law
18.1. Complaints
Any complaint relating to a Service must be sent to contact@legalcameroun.com, stating the references of the file concerned and the facts giving rise to the complaint.
The Publisher acknowledges receipt of the complaint as soon as possible and endeavours to respond within an indicative period of two (2) working days of receipt.
18.2. Amicable settlement of disputes
In the event of a dispute relating to the interpretation, performance or validity of these Terms of Sale, the parties undertake to seek an amicable solution first.
To this end, they may use mediation or any other amicable dispute resolution method in accordance with the OHADA Uniform Act on Mediation.
A Client who is a consumer retains the right to refer the matter to the competent administrations, public bodies or consumer associations to defend their rights, in accordance with the Cameroonian consumer protection legislation.
18.3. Governing law
These Terms of Sale are governed by and interpreted in accordance with the law in force in the Republic of Cameroon.
They remain subject, where applicable, to the mandatory provisions of the applicable community texts, in particular those of OHADA, and to the international conventions duly ratified and applicable in Cameroon.
18.4. Jurisdiction
Failing an amicable settlement, any dispute relating to the formation, interpretation, performance, termination or validity of these Terms of Sale falls under the jurisdiction of the territorially competent Cameroonian courts.
However, where the Client is a consumer, the rules of jurisdiction laid down by the applicable mandatory legal provisions remain reserved.
18.5. Interim and urgent measures
Initiating an amicable settlement or mediation procedure does not deprive either party of the right to apply to the competent court for any protective, provisional or urgent measure needed to preserve its rights or legitimate interests.
Article 19: General provisions
19.1. Partial invalidity
If any provision of these Terms of Sale is declared void, unlawful, unenforceable or inapplicable by a legal or regulatory provision or a final decision of a competent court, the other provisions shall remain in full force and effect.
19.2. No waiver
A party’s failure to rely on any provision of these Terms of Sale at any given time shall not be interpreted as a waiver of its right to rely on it at a later date.
19.3. Entire agreement
These Terms of Sale, the Quote or the Engagement Letter, the Site’s Terms of Use and the Privacy Policy constitute the entire agreement between the parties regarding their subject matter.
In the event of a contradiction between these documents, the order of priority set out in Article 2 of these Terms of Sale applies.
19.4. Language
These Terms of Sale are written in French.
In the event of translation into one or more other languages, only the French version shall be authoritative and shall prevail in the event of any discrepancy in interpretation.
19.5. Changes to the Terms of Sale
The Publisher reserves the right to amend these Terms of Sale at any time.
However, Orders already accepted remain governed by the version of the Terms of Sale in force on the date of their acceptance, unless the parties expressly agree otherwise.
19.6. Contact
